1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Freight IQ Hub Pty Ltd (ABN to be confirmed) ("Company", "we", "us", or "our"), operating the FreightIQHub platform ("Platform", "Service").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. If you are using the Platform on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

FreightIQHub is a cloud-based software platform designed for freight and logistics contractors operating in Australia. The Platform provides tools including but not limited to:

• Job tracking and management
• Driver reporting and time entry
• Rate card and billing management
• Document storage and processing
• Scheduling and automated reporting
• Communication and notification services

3. Account Registration

To access the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information
• Notify us immediately of any unauthorised use of your account
• Not share your account access with unauthorised persons

We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information, or that we reasonably believe have been compromised.

4. Subscription and Fees

Access to the Platform may require a paid subscription. Subscription plans, pricing, and billing cycles are as described on our website or as agreed in writing. All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.

You agree that:

• Fees are billed in advance on a recurring basis according to your chosen plan
• You authorise us to charge your nominated payment method for all applicable fees
• Failure to pay may result in suspension or termination of your access
• We may change our fees with at least 30 days' written notice
• Refunds are provided at our discretion and in accordance with Australian Consumer Law

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable Australian federal, state, or territory law or regulation
• Infringe the intellectual property rights of any third party
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorised access to the Platform or its systems
• Interfere with or disrupt the integrity or performance of the Platform
• Use the Platform for any fraudulent, misleading, or deceptive purpose
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated tools to scrape, crawl, or extract data from the Platform

6. Intellectual Property

The Platform, including its design, code, features, content, trademarks, and logos, is owned by Freight IQ Hub Pty Ltd and is protected by Australian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform in accordance with these Terms. This licence does not include the right to:

• Modify, copy, or create derivative works based on the Platform
• Sublicence, sell, or redistribute access to the Platform
• Use our trademarks or branding without prior written consent

7. Your Data

You retain ownership of all data you upload, submit, or generate through the Platform ("Your Data"). By using the Platform, you grant us a limited licence to use, store, process, and display Your Data solely for the purpose of providing and improving the Service.

You are responsible for ensuring that Your Data does not violate any laws or third-party rights. We will handle Your Data in accordance with our Privacy Policy and applicable Australian privacy legislation, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

8. Availability and Support

We endeavour to maintain the Platform's availability but do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will use reasonable efforts to provide technical support during Australian Eastern Standard Time (AEST) business hours. Support is available via the channels specified on the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)):

• The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability for any claim arising from or related to the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

10. Indemnification

You agree to indemnify and hold harmless Freight IQ Hub Pty Ltd, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. You may cancel your account by contacting us. We may suspend or terminate your access to the Platform immediately if:

• You breach any provision of these Terms
• You fail to pay any applicable fees
• We are required to do so by law
• We discontinue the Platform or any part of it

Upon termination, your right to access the Platform will cease. We will make Your Data available for export for a reasonable period (not less than 30 days) following termination, after which we may delete Your Data in accordance with our data retention policies.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia for any disputes arising under these Terms.

14. Dispute Resolution

Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute arising out of or in connection with these Terms through good faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue legal remedies.

15. General Provisions

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
